Values such as personal responsibility, openness and transparency, legal compliance, and ethical conduct play a central role in everything we do. This Code of Conduct defines the fundamental rules and principles that guide our actions now and in the future. It serves as a framework for orientation and applies equally to everyone—management, executives, and all employees.
This Code represents both a commitment to ourselves and a promise to the outside world: to act responsibly toward business partners, the public, and one another within the company. Together, we bear responsibility for the reputation of Chip ICT B.V. Misconduct by individuals can cause significant harm to the entire organization. Therefore, all employees are requested to read this Code of Conduct carefully and use it as a shared guideline for daily behavior.
Compliance Culture
We live these values together. Openness and mutual respect define our cooperation. We build our relationships on reliability, honesty, credibility, and integrity.
Compliance is a natural and integral part of our business processes.
This Code of Conduct, together with internal policies, guidelines, and employment agreements, is binding and valid for all employees without limitation. Any violations may lead to appropriate disciplinary and legal consequences. Acting “in the interest of the company” does not justify breaches of this Code, as any violation ultimately harms the company in the long term.
Conduct in the Business Environment
Compliance with Laws and Regulations
Compliance with all applicable laws and regulations is a fundamental principle of responsible business conduct at Chip ICT B.V. We adhere to legal requirements at all times, even if doing so may result in short-term economic disadvantages.
Where national laws impose stricter requirements than this Code, national legislation shall take precedence.
Avoidance of Conflicts of Interest
Business decisions at Chip ICT B.V. are made solely in the best interests of the company. Conflicts between private interests and the interests of the company—including those involving family members or related parties—must be avoided wherever possible.
If conflicts of interest do arise, they must be disclosed transparently and handled in accordance with applicable laws and internal guidelines.
Fair Competition and Anti-Corruption
Chip ICT B.V. stands for technological expertise, customer focus, and committed, responsible employees. Our success is built on reputation and sustainable economic performance.
Corruption and bribery are not tolerated under any circumstances (zero-tolerance policy). Bribes, kickbacks, or collusion are never acceptable means of obtaining business advantages. We would rather forgo a business opportunity than violate the law.
Any violations will result in sanctions. All employees are required to be aware of the serious legal and personal risks associated with corruption and to actively contribute to its prevention within their area of responsibility.
Prevention of Money Laundering
Chip ICT B.V. complies with all legal requirements aimed at preventing money laundering and does not engage in any form of such activities.
Employees are required to report unusual or suspicious financial transactions—particularly those involving cash—to the Finance or Compliance department for review.

The health and safety of our employees are a top priority, equal in importance to product quality and economic success. Occupational safety and health protection are integral to all business processes and are considered from the planning stage onward.
Every employee is responsible for promoting a safe and healthy work environment and complying with safety regulations. Managers are responsible for instructing and supporting employees in fulfilling these obligations.

Environmental and Climate Protection
Environmental protection, climate responsibility, and resource efficiency are important corporate objectives. In developing products and services and operating facilities, we strive to minimize environmental impact and contribute positively to sustainability.
Every employee is responsible for using natural resources responsibly and contributing through their behavior to environmental and climate protection.
Donations and Social Engagement
Chip ICT B.V. considers itself an active member of society and supports social initiatives where appropriate. Donations and sponsorships are made exclusively in the company’s business interest.
We do not make financial contributions—particularly donations or sponsorships—to political parties, party-affiliated organizations, elected officials, or political candidates, either domestically or abroad.
Political Engagement and Lobbying
Any political advocacy is conducted centrally, openly, and transparently. We comply with all legal lobbying requirements and strictly avoid improper influence on political decision-making or legislation.
Public Appearance and Communication
We respect freedom of expression and the protection of personal rights and privacy. Employees should be aware that their conduct—even in private life—may be perceived as representing Chip ICT B.V.
Public statements, especially media interactions, must not harm the company’s reputation. When expressing private opinions, employees must ensure that these cannot be associated with their role or activities at Chip ICT B.V.
Handling of Information
Accurate Reporting
Chip ICT B.V. is committed to reliable, honest, and transparent reporting. All internal and external reports, records, and documents must be complete, accurate, timely, and compliant with applicable laws and standards.
Confidential and Personal Data
Confidential business information and documents must be protected against unauthorized access.
The protection of personal data—particularly that of employees, customers, and suppliers—is of special importance. Personal data may only be collected or processed where legally permitted or with the explicit consent of the individual concerned.
Protection of Company Assets
Company property and resources must be used responsibly and protected against loss, theft, or misuse. Company assets—both tangible and intangible—are to be used exclusively for business purposes unless explicitly authorized otherwise.
Business travel must always be planned and conducted economically, considering time and cost efficiency in relation to the purpose of the trip.
Implementation and Points of Contact
Chip ICT B.V. actively promotes awareness and understanding of this Code of Conduct. Managers act as role models and are the first point of contact for questions related to compliance. They are responsible for ensuring that all employees are familiar with and understand this Code.
Unacceptable behavior must be addressed promptly, and appropriate measures taken where violations occur. Open communication, transparency, and mutual support characterize cooperation between employees and management.
